Artist Payout Terms

1. ARTIST PAYOUT

When an artwork is sold through Bird Swatch Archive, the participating Artist is entitled to receive the Artist's share of the artwork sale price according to the commission structure established for the applicable Exhibition.

For the Winter 2027 Exhibition, proceeds from the artwork sale price are divided as follows:

65% — Artist 35% — Bird Swatch Archive

The commission calculation applies to the artwork sale price and does not include shipping charges paid by the Collector.

2. PAYOUT BASIS

The Artist payout is calculated from the final artwork sale price actually collected for the applicable transaction, subject to any authorized refund, adjustment, reversal, chargeback, or other transaction correction.

Unless otherwise expressly stated, shipping charges paid by the Collector are not included in the amount used to calculate the Artist's 65% share.

Applicable taxes collected from the Collector are not treated as artwork sale proceeds for purposes of calculating the Artist payout.

3. PAYOUT ELIGIBILITY

An Artist payout does not become eligible immediately when the Collector completes checkout.

A payout becomes eligible only after the applicable transaction has satisfied Bird Swatch Archive's fulfillment requirements.

Unless otherwise stated for an Exhibition, payout eligibility requires that:

• payment has been successfully confirmed;
• the Work has been shipped according to the applicable fulfillment requirements;
• valid tracking information has been supplied;
• the carrier has confirmed delivery;
• the 48-hour damage-reporting period has expired; and
• there is no unresolved damage, loss, return, refund, payment dispute, fraud, or other material claim associated with the order.

Expiration of the 48-hour damage-reporting period makes a payout eligible for processing but does not necessarily mean the payment will be transferred immediately.

The payout remains subject to the applicable Bird Swatch Archive payout schedule.

4. PAYOUT SCHEDULE

Eligible Artist payouts will be processed according to the payout schedule stated in the applicable Exhibition record or Artist workspace.

Bird Swatch Archive may process payouts individually or in scheduled batches.

The Artist workspace should display, where applicable:

• artwork sale price;
• Artist share;
• Bird Swatch Archive commission;
• payout status;
• eligibility date;
• expected payout date or payout cycle;
• payment date; and
• transaction reference.

5. PAYOUT STATUS

Bird Swatch Archive may use the following payout statuses:

Pending The artwork has sold, but fulfillment has not yet satisfied the requirements for payout eligibility.

Awaiting Delivery The artwork has shipped and delivery confirmation is pending.

Damage Window Carrier-confirmed delivery has occurred and the 48-hour damage-reporting period is still open.

On Hold A claim, refund, return, payment dispute, fulfillment issue, fraud review, or other material issue prevents payout processing.

Eligible All standard payout eligibility requirements have been satisfied.

Processing The payout has been initiated through the applicable payment provider.

Paid The payout provider has confirmed that the payout has been completed.

Failed A payout attempt was unsuccessful and requires corrective action.

Cancelled The payout was cancelled because the underlying transaction was cancelled or otherwise determined not to be payable.

Adjusted The payout amount was modified as the result of an approved refund, claim, correction, or other authorized adjustment.

6. PAYMENT INFORMATION

Artists may be required to provide payment information through a Bird Swatch Archive designated payout provider.

Required information may include:

• legal name;
• mailing address;
• email address;
• tax information;
• identity verification information;
• banking or payout details; and
• other information required by the payment provider or applicable law.

Bird Swatch Archive should not collect complete banking credentials directly through the Artist Exhibition Agreement.

Where a third party payment provider is used, the Artist may be subject to that provider's applicable terms, identity verification requirements, and privacy practices.

7. TAX INFORMATION

Artists are responsible for providing accurate tax information when required.

Bird Swatch Archive or its payment provider may request documentation necessary to comply with tax reporting obligations.

Payments may be delayed or withheld where legally required information has not been supplied.

The Artist is responsible for the Artist's own income tax and other tax obligations arising from payments received.

8. PAYOUT HOLDS

Bird Swatch Archive may place a payout on hold when there is a material unresolved issue involving the applicable transaction.

Reasons may include:

• damage claim;
• lost shipment;
• delivered but not received claim;
• return request;
• authorized cancellation;
• refund review;
• payment dispute;
• chargeback;
• suspected fraud;
• fulfillment discrepancy;
• incorrect or missing tracking information;
• Artist verification issue;
• Collector complaint relating to the Work;
• suspected violation of Exhibition terms; or
• another issue reasonably requiring review before payment.

A payout hold should apply only to the affected transaction unless broader action is reasonably necessary.

The Artist workspace should identify the reason for the hold when appropriate.

9. DAMAGE CLAIMS

If a Collector submits a valid damage report during the 48-hour reporting window, the Artist payout for the affected Work will automatically be placed on hold.

The payout will remain on hold while the claim is reviewed.

Bird Swatch Archive may request documentation from the Artist, including:

• pre-shipment condition photographs;
• packing photographs;
• shipping receipt;
• carrier documentation;
• insurance documentation; and
• other information reasonably relevant to the claim.

Submission of a damage claim does not automatically result in cancellation of the payout.

The payout will be released, adjusted, cancelled, or otherwise resolved after the claim is determined.

10. LOST SHIPMENTS

If a Work appears to be lost during shipment, the associated Artist payout may remain pending or be placed on hold while the shipment is investigated.

Bird Swatch Archive may coordinate with the Artist, Collector, carrier, or insurer before determining the final payout status.

A shipment delay alone does not necessarily constitute a loss or automatically cancel the Artist payout.

If a shipment is confirmed lost, payout treatment will depend on applicable insurance, carrier recovery, refund obligations, and the final attorney-reviewed risk-of-loss provisions.

11. RETURNS AND REFUNDS

If Bird Swatch Archive authorizes a return or refund before the Artist payout has been made, the payout may be held, adjusted, or cancelled as appropriate.

If a partial refund is approved, the Artist payout may be recalculated based on the final amount of artwork sale proceeds retained.

If a refund is issued after the Artist has already been paid, Bird Swatch Archive may seek recovery or offset of the Artist's applicable share only as permitted by the final Artist Agreement and applicable law.

12. CHARGEBACKS AND PAYMENT DISPUTES

If a Collector initiates a chargeback or other payment dispute, Bird Swatch Archive may place the related Artist payout on hold while the dispute is investigated.

If the Artist has already received the payout, treatment of the disputed funds will depend on the applicable Artist Agreement, payment provider rules, and final attorney-reviewed recovery provisions.

The Artist agrees to provide reasonable documentation requested by Bird Swatch Archive in connection with a legitimate payment dispute.

13. FAILED PAYOUTS

A payout may fail because of:

• incorrect payment information;
• closed or restricted account;
• identity-verification requirements;
• payment-provider restrictions;
• banking errors;
• regulatory requirements; or
• other technical or administrative issues.

If a payout fails, Bird Swatch Archive will make reasonable efforts to notify the Artist and provide an opportunity to correct the issue.

A failed payout does not eliminate an otherwise valid amount owed to the Artist.

The payout will remain pending until the issue can reasonably be corrected, subject to applicable law.

14. ARTIST INFORMATION RESPONSIBILITY

The Artist is responsible for keeping payout and contact information current.

The Artist must notify Bird Swatch Archive or update the applicable payout provider if relevant information changes.

Bird Swatch Archive is not responsible for delays caused by inaccurate, incomplete, outdated, or unverified Artist payment information, except as otherwise required by law.

15. PAYMENT PROVIDER DELAYS

Once a payout has been transmitted to the applicable payment provider or banking network, the timing of receipt may depend on the provider, financial institution, weekends, holidays, compliance review, or other factors outside Bird Swatch Archive's direct control.

A payout marked Processing should not be represented as successfully completed until provider confirmation has been received.

16. NO DIRECT COLLECTOR PAYMENT

Artists must not request or accept direct payment from a Collector for artwork sold through a Bird Swatch Archive Exhibition outside the approved Bird Swatch Archive transaction workflow.

Artists should not independently:

• request additional payment;
• collect the artwork purchase price;
• refund the Collector;
• reimburse the Collector;
• alter the agreed price; or
• arrange an alternative financial settlement

without Bird Swatch Archive authorization.

This requirement allows Bird Swatch Archive to maintain accurate order, commission, refund, tax, fulfillment, and payout records.

17. SHIPPING REIMBURSEMENT

Where Bird Swatch Archive supplies a prepaid shipping label, no separate Artist reimbursement is ordinarily required for that label.

Where an Artist has been expressly authorized to purchase shipping independently, reimbursement, if any, will be handled according to the applicable Exhibition or fulfillment terms.

Artists should not independently purchase a different shipping service and expect reimbursement unless Bird Swatch Archive has authorized that arrangement.

18. COMMISSION ADJUSTMENTS

Bird Swatch Archive will not change the agreed commission percentage for a completed transaction after the sale except to correct a genuine administrative or calculation error.

For Winter 2027, the agreed commission structure is:

Artist: 75% Bird Swatch Archive: 25%

Any different commission arrangement must be communicated and agreed before the applicable Work is offered for sale.

19. PRICING ERRORS

If a Work is sold as the result of a material pricing error, Bird Swatch Archive may cancel the transaction before fulfillment is completed.

Where a transaction is cancelled because of an obvious pricing error, no Artist payout will be owed from the cancelled transaction.

If the issue is discovered after fulfillment has begun, Bird Swatch Archive will determine the appropriate resolution under the applicable Collector Purchase Terms and Artist Agreement.

20. FRAUD AND UNAUTHORIZED TRANSACTIONS

Bird Swatch Archive may delay or withhold payout processing while investigating a transaction reasonably suspected of being fraudulent, unauthorized, or otherwise invalid.

No Artist payout is owed on a transaction that is ultimately determined not to represent valid collected proceeds, subject to applicable law and the final Artist Agreement.

A fraud review should not affect unrelated Artist payouts unless there is a reasonable basis for broader review.

21. RECORDS

Bird Swatch Archive will maintain records associated with Artist payouts.

These may include:

• order number;
• artwork;
• Artist;
• sale price;
• commission calculation;
• payout amount;
• payout status;
• eligibility date;
• payout date;
• payment provider reference;
• adjustments;
• refund associations;
• claim associations; and
• audit history.

Artists should be able to view appropriate payout information associated with their own sales through the Artist workspace.

22. PAYOUT STATEMENT

For each completed payout, Bird Swatch Archive should provide or make available a payout statement showing:

• Artist name;
• artwork title;
• order number;
• artwork sale price;
• Bird Swatch Archive commission;
• Artist share;
• authorized adjustments, if any;
• final payout amount; and
• payment date.

Where multiple sales are included in one payout, the statement should itemize each transaction separately.

23. ADMINISTRATIVE CORRECTIONS

If Bird Swatch Archive identifies an administrative or calculation error before payout, it may correct the payout record before funds are transferred.

If an error is identified after payout, Bird Swatch Archive and the Artist will cooperate reasonably to correct the discrepancy.

No correction should be made without preserving the original transaction history in the Bird Swatch Archive audit trail.

24. TERMINATION OR WITHDRAWAL

Ending an Artist's participation in an Exhibition does not eliminate a valid payout owed for a completed sale.

Outstanding payouts remain subject to:

• fulfillment completion;
• damage and return periods;
• claims;
• refunds;
• payment disputes;
• applicable tax requirements; and
• these Artist Payout Terms.

25. NO GUARANTEE OF PAYMENT BEFORE COLLECTION

Bird Swatch Archive is not required to advance funds to an Artist before the applicable Collector payment has been successfully collected and the transaction has satisfied the payout eligibility requirements.

A pending or attempted Collector payment does not create an immediately payable Artist balance.

26. POLICY VERSION

The Artist Payout Terms applicable to a sale will be the version associated with the applicable Exhibition and transaction.

Later changes to these terms will not retroactively alter the payout terms attached to a completed transaction unless the Artist expressly agrees or a change is required by law.

Bird Swatch Archive should retain:

• terms version;
• effective date;
• complete terms snapshot or immutable revision;
• Exhibition association; and
• applicable order associations.

27. ACCEPTANCE

The Artist accepts these Artist Payout Terms through acceptance of the applicable Bird Swatch Archive Artist Exhibition & Sales Agreement or through another affirmative acceptance process presented by Bird Swatch Archive.

Bird Swatch Archive will retain the terms version associated with the Artist's acceptance.
